1. Introduction Terms

1. In this document, the terms "We," "Our," "Us," and similar expressions pertain to Tirrell Corp Pty Ltd and, where applicable, their Related Bodies Corporate operating under the trade name "UpStyle Home Staging." The terms "You" and similar expressions refer to the individual, corporation, trust, or partnership procuring or leasing equipment from Us, whose name is specified in the quotation.

2. Whether or not signed by You, any quotation or services agreement is an integral part of these terms, collectively forming "the Agreement."

3. For the purposes of this Agreement, "Goods" encompasses all furniture, equipment, and/or trade works outlined in the quotation provided to You.

4. If You have not formally endorsed the quotation or any other document integral to this Agreement, it is presumed that You have consented to and are legally bound by the quotation and this Agreement upon taking possession of the Goods.

1. Furniture Hire

1. The availability of all hire items is contingent upon the time of placement.

2. The commencement of the hire period for the Goods occurs on the earlier of:

3. The date of Your possession.

4. The delivery of the Goods to the address nominated by You.

5. The hire period will extend for the Minimum Hire Period specified in Our quotation to You or until:

6. We retrieve the Goods from You.

7. We acknowledge the return of the Goods from You, whichever is longer ("Hire Period").

8. We bear no responsibility if, for any reason, the Goods are unavailable for hire after the Minimum Hire Period lapses.

9. We retain the right to collect the Goods if the property is sold before the conclusion of the Hire Period.

1. Hire Fees

1. During the Hire Period and in accordance with this Agreement, You are obligated to pay the hire fees outlined in Our quotation to Us ("Hire Fees").

2. Regardless of the early return of the Goods or a partial return, You must pay the Hire Fees for the Minimum Hire Period.

3. Payment for styling and hire furniture is due no later than 48 hours before furniture placement. Alternative payment arrangements may be negotiated between the parties before quoting.

4. If the Goods are required beyond the Minimum Hire Period, weekly hire rates at 15% of the original Hire Fee will apply.

5. Payment for additional rental charges post the Minimum Hire Period is due within 7 days from the date of the invoice.

1. Cancellation/Change of Installation Date

1. Projects for confirmed orders are initiated promptly to meet client deadlines. Notification of cancellation or a change in the installation date must be provided at least 3 business days before the scheduled placement. Otherwise, a 20% cancellation fee may be applied to cover preparation costs and removalist fees.

1. Insurance

1. All products supplied by Upstyle Home Staging are comprehensively insured against theft, flood, and fire. However, general negligence and pet damage are excluded, and repair or replacement costs may be charged to the hirer.

1. PPSR (Personal Property Securities Register)

1. As per this Agreement:

2. You are the grantor.

3. We are the secured party.

4. The Goods, categorized as commercial property, serve as collateral.

5. Attachment occurs upon acceptance of this Agreement.

6. You acknowledge that this Agreement establishes a Security Interest in favor of Us, allowing Us the discretion to register on the PPS Act register. You waive the right to receive notice of a verification statement related to any registration by Us on the register.

7. You agree to promptly execute any documents, provide relevant information, fully cooperate, and undertake any necessary actions to ensure We have a perfected security interest and priority over other security interests in the Goods.

8. You are prohibited from registering a financing change statement or creating another Security Interest in the Goods without Our written consent.

9. Certain provisions of the PPS Act, specified in this Agreement, will not apply to the enforcement of these terms.

10. Notices or documents related to the PPS Act must comply with the Act's provisions.

11. We commit not to disclose information under subsection 275(1) of the PPS Act, except in specified circumstances.

12. If We receive notice under section 64 of the PPS Act related to You, outstanding monies may, at Our discretion, become immediately due and payable, and the Goods may be promptly returnable.

13. You agree to reimburse Us, upon demand, for all costs and expenses associated with registering or maintaining any financing statement or other related documents.

1. Title

1. We maintain ownership of the Goods. During the Hire Period, You hold the Goods as a bailee. Our title to the Goods persists even if You undergo bankruptcy or liquidation.

2. The Goods are at Your risk from delivery or collection (whichever is earlier).

1. Additional Charges

1. We reserve the right to charge You replacement costs for any stolen, damaged, or deteriorating stock.

2. An additional 10% levy per month may be imposed on any unpaid invoice 30 days or more from the date of issuance, excluding cases where payment from settlement is agreed upon within 3 months of the first services rendered.

1. General

1. The Goods are intended solely for display and not for personal use.

2. Candles provided are for display purposes only. Lighting them during the hire period may result in charges for their replacement.

3. Wall hooks used for hanging art, mirrors, etc., will remain in place after the property is sold or rental ceases. Stick-on hooks are not used due to their unreliability.

4. The property to be styled must be clean and tidy. We reserve the right to refuse placement of our product if the property's condition is deemed unacceptable. If the product is not placed due to the property's condition, You are responsible for packing and freight charges.

5. Regarding pets, we reserve the right to charge You for the replacement or repair costs of any damaged stock caused by pets, including soil stains, claw marks, and odors.

6. The account and notice of costs and interest serve as prima facie evidence of the amount due to Upstyle Home Staging.

7. Claims will not be recognized unless raised within 14 days of the invoice date.

8. All prices quoted are inclusive of GST.

9. This quote remains valid for 30 days.

1. COVID-19

1. Special conditions apply during the Covid-19 pandemic.

2. To maintain effective social distancing, we request that no individuals, including UHS staff and other trades, be present during both installation and product collection. This is crucial for ensuring the health and safety of both You and our staff. We appreciate your cooperation and understanding.
